The shareholders’ General Meeting shall be held every year, within six months after the end of the financial year. The General Meeting is an opportunity for shareholders and the Group’s Senior Executive to communicate. It also provides you with the possibility of taking part of the Company’s decisions by voting on the resolutions submitted for your approval.

Preparing the event

The Renault 2015 Mixed General Meeting will be held on Thursday April 30, 2015 at 3:15 p.m., at the Carrousel du Louvre, 99 rue de Rivoli – 75001 Paris.

Participants are welcome at the venue from 1:30 p.m. onwards.

Participating in the General Meeting

Prior Formalities

As a Renault shareholder, you are entitled to participate in the Company’s General Meeting, regardless of how many shares you own or how they are held (registered shares, bearer shares or units in the FCPE Actions Renault or Renault Shares mutual funds).

May we remind you that in order to participate in the Shareholders’ Meeting, you must prove the ownership of your shares, in accordance with Article R. 225-85 of the French Commercial Code, up to two business days prior to the Meeting date, i.e. at midnight (Paris time) on April 28, 2015 : 

  • if you hold registered shares or units in the FCPE Actions Renault or Renault Shares mutual funds, by having your shares recorded in your name by the second business day prior to the Meeting date, i.e. at midnight (Paris time) on Tuesday, April 28, 2015.
  • if you hold bearer shares, by obtaining a shareholding certificate from the financial intermediary managing your account (bank, stockbroker, online broker, etc.) to confirm your shareholding by the second business day prior to the Meeting date, i.e. at midnight (Paris time) on Tuesday, April 28, 2015.

Conditions to take part in the General Meeting

You can choose to exercise your rights as a shareholder in any of the following ways:

  • Attend the General Meeting in person, using your admission card. On the date of the General Meeting, all shareholders will be asked to provide proof of their shareholding and their identity during registration.
  • Vote by post or on the Internet.
  • Appoint the Chairman of the General Meeting as your proxy
  • Appoint any individual or legal entity of your choice as your proxy.

Holder of registered shares or of units in the FCPE Actions Renault mutual fund will automatically receive their Notice of General Meeting by post or by email (for more details on e-notices, see above).

From April 1st, 2014, holder of bearer shares may download the 2014 General Meeting Notice from the above “Preparatory documents” tab or may request it to their financial intermediary.

Shareholders who have already submitted their vote by post or Internet, sent a proxy form or requested their admission card or a shareholding certificate:

  • may not change their chosen method of participation at this General Meeting. Shareholders who have already submitted their vote by post or by Internet will not be entitled to vote on the date of the General Meeting but will be authorized to attend the General Meeting.
  • may dispose all or part of their shares. However, if the sale takes place before midnight (Paris time) on Friday, April 25, 2014, the Company shall annul or change, as appropriate, the postal or on-line vote, the proxy, the admission card or the shareholding certificate.

You can find all conditions and formalities to take part in the General Meeting in the Notice of Meeting published in the BALO (French gazette of compulsory legal announcements) on March 3, 2014 as published in the above “Preparatory documents” tab (see pages 8 to 11). Participate in the General Meeting using the Internet

Since 2014, Renault has introduced an online voting facility which you can use ahead of the General Meeting, via the secure voting platform VOTACCESS, opens from April 3, 2015 to, April 29, 2015 at 3 p.m. (Paris time).

VOTACCESS offers you the same options as the paper voting form.

Since you hold at least one Renault share, you can:

  • Request an admission card to attend the General Meeting in person. In this case, you can download your admission card directly on your computer. The e-card can be downloaded and printed until the date of the General Meeting. You will be required to present it at registration.
  • Vote on the resolutions via the Internet.
  • Appoint the Chairman of the General Meeting as your proxy.
  • Appoint any other person of your choice as your proxy.

HOW TO GET TO VOTACCESS?

  • Holder of direct registered shares, Connect to Planetshares website https://planetshares.bnpparibas.com using your usual login details. After logging in to Planetshares, go to VOTACCESS by clicking “Participate in the General Meeting”.
  • Holder of administered registered shares, Connect to Planetshares website https://planetshares.bnpparibas.com, using the login details on the top right of the paper voting form included with your Notice of Meeting documentation. After logging in to Planetshares, go to VOTACCESS by clicking “Participate in the General Meeting”.
  • Holder of units in the FCPE Actions Renault or Renault Shares mutual funds, Connect to Planetshares My Proxy via: https://gisproxy.bnpparibas.com/renault.pg, using the login details on the top right of the paper voting form included with your Notice of Meeting documentation. Click on Access 4 and enter the login details on the top right of the paper voting form included with your Notice of Meeting documentation. The required ID consists of your Natixis Interépargne employee account number, which is on the bottom right of your Natixis account statement.
  • If you are holder of bearer shares, please check with your financial intermediary to find out whether he is member of the VOTACCESS system. If your financial intermediary is a member of the VOTACCESS system, use your usual login details to connect to your financial intermediary’s “Stock market” portal. 

 

E-NOTICE

Are you the holder of registered shares or of units in the FCPE Actions Renault or Renault Shares mutual fund?

Choose to receive your Notice of General Meetings electronically and play your part in Renault’s sustainable development drive by helping to power change.

If you are the holder of registered shares or of units in the FCPE mutual funds, you receive your Notice of General Meetings by post every year.

Since 2014, you can choose to receive your Notice of General Meeting by email. In such a case, you will receive a E-notice giving you access to the documents relating to the General Meeting. E-notices will replace the printing and postal delivery of invitations, the voting form and the T envelope, which will allow us to significantly reduce our carbon footprint. In doing so, you would be making an active contribution to the sustainable development pursued by Renault.

In opting for e-notices, you would benefit from a simple, fast, secure and economical method of invitation. What is more, you would be making a positive gesture for the environment.

By signing up for e-notices before March 26, 2015, your request will be effective from the 2015 General Meeting.

Beyond this date, your request will be taken into account for subsequent Renault’s General Meetings.

HOW TO SIGN UP FOR E-NOTICES?

Holder of direct or administered registered shares

1)   Connect to Planetshares website https://planetshares.bnpparibas.com.

2)  Identify yourself:

  • For holders of direct registered shares: by using your usual login details.
  • For holders of administrated registered shares: by using the login details received with your notice. If you do not have any login details, you may request it by clicking on "forgotten password" or "first connexion". Please note that, in such case, the option will be taken into account for subsequent General Meetings.
  • Now go to " My personal information" and click "My subscriptions" to sign up to receive communications electronically.

Holder of units in the FCPE Actions Renault or Renault Shares mutual funds

1)   Connect to Natixis Interépargne website www.interepargne.natixis.com/epargnants.

2)   Go to “Savers and Employees” section and sign in to your account.

3)   Connect by using your usual login details.

4)   In “Statements and Documents” section, select “Register” and click on “Yes” in “Register for e-notices”.

Please note that pursuant to French law, holders of bearer shares are not individually invited to General Meetings. Consequently, they can’t sign up for e-notices. If you are holder of bearer shares, you may request the General Meeting documentation to your custody account-keeper. From April 3, 2015 the General Meeting Notice will also be available on the above “Preparatory documents” section.

As a Renault shareholder, you are entitled to participate in the Company’s General Meeting, regardless of how many shares you own or how they are held (registered shares, bearer shares or units in the FCPE Actions Renault or Renault Shares mutual funds).
